1.  Lynn issued the proposal, not the Board.  The proposal did not come 
from the  Board.

2.  What was issued is a proposal, not a decision.  How does it abridge an 
open process to have someone -- anyone -- put forward a proposal for public 
review and comment?

What really IS noteworthy about your statement on Lynn's proposal is how 
thoroughly it validates his observation that there is too much focus on 
process and not enough on content.  And there is too much focus on 
criticism and not enough on constructive proposing.
