<div dir="ltr">Thanks for the update Bill. Here's hoping we'll be able to time things for the F2F - it's likely the best way to guarantee a perfectly cohesive document. If that's not possible, I'm sure we'll figure a way to do this right.<div>
<br></div><div>Milton's offer to help is most appreciated and desperately needed. We need the active participation of those whose experience and expertise can inform and guide the work of those, like <span class="" style>Tapani</span> and myself, whom are are relatively new to the community. There's no sense reinventing the wheel if <span class="" style>someone's</span> already built a workable prototype. Our message to those who have given their time and effort in the past to try to create a sustainable infrastructure for our Constituency: we can't do this without you. Please join with us by subscribing to the Committee list ( <a href="http://www">http://www</a>.<span class="" style>ncuc</span>.org/bylaws-revision-committee/ ). If you have some work product you'd care to share please send it to either <span class="" style>Tapani</span> ( <span class="" style>ncuc</span>@<span class="" style>tapani</span>.<span class="" style>tarvainen</span>.info ) or myself (<span class="" style>edward</span>.<span class="" style>morris</span>@alumni.<span class="" style>usc</span>.<span class="" style>edu</span>). Anything anyone can offer is greatly appreciated.</div>

<div style="word-wrap:break-word">Hi<div><br></div><div>Thanks Ed for getting this conversation started. Our bylaws do indeed need a refresh, as has been mentioned off and on on this list and elsewhere for the past year, and the plan has been to take this up in the third quarter of this year after other organizational enhancements (e.g. our electronic platforms) and in time for members to vote on a revised text alongside the next NCUC election (late November, or soon thereafter). </div>
<div><br></div><div>To do this right we really need input from members, including those with institutional memory of past revisions and attempted revisions (there are a couple docs that people worked on since the last revision in 2009 that didn't get to fruition but still have useful ideas). So I'm glad to see Milton volunteering to join the group, and hope others will as well.</div>
<div><br></div><div>A word on the timing: most of the work will have to be done online in September - October. What's not quite clear yet is when we must finish. I had asked staff to reserve a room for us in Buenos Aires on Friday 15 November so we could sort out any remaining issues F2F, but it now occurs to me that this might be too late. My memory of 2009 is fuzzy (sorry, I'm on vac and not into searching the archives) but I believe we will need to get the revised text cleared through staff and the board SIC committee, plus we may have to do a time consuming "check in" exercise with NCUC members to determine who's eligible to vote and hence the numbers we need for passage. These bits could require a month or so, in which case we'll have to finish in October and skip the F2F meeting. I've written to staff seeking assistance in sorting this out and will report back when things come into focus.</div>
<div><br></div><div>In the meanwhile, let's constitute the group, pull together the relevant docs, and get the process organized.</div><div><br></div><div>Thanks again,</div><div><br></div><div>Bill</div><div><br></div>

<div> <br></div><p>As summer winds down your Executive Committee is planning on
undertaking what is perhaps the biggest challenge it has faced this year: the
revision, updating and rewriting of the bylaws that govern your Constituency.
To do so successfully we respectfully request your assistance.</p><div> <br></div><p>The revision is needed. Our current Bylaws do not reflect
the reality of our Constituency or the <span>ICANN</span> of today. That’s no one’s fault,
it is merely the reflection of the rapidly changing environment in which we
find ourselves. We need to adapt the Bylaws to better reflect who we are as a
Constituency and to meet certain guidelines <span>ICANN</span> intends to promulgate and
enforce concerning Constituency governing documents.</p><div> <br></div><p>There is a lot of work to be done and the decisions we make together
will help shape who we are and what we do as a community. </p><div> <br></div><p>For example, we have a policy committee that is currently inactive
with a structure that does not fit comfortably into today’s <span>ICANN</span>. Do we want
to do policy at the Constituency level? If so, how do we structure our efforts
in this regard?<span> </span>How exactly will
we develop policy, if we intend to do so, and how can we do so in a way that truly
complements and strengthens noncommercial policy efforts at the <span>SG</span> level?</p><div> <br></div><p>What about the Executive Committee itself? Should we
continue to be elected as regional delegates selected by the Constituency as a
whole? Is there a better model? What about diversity? Is there a governing
model that will allow us to better reflect our membership? <span> </span>Is that a goal we should even try to
attain? If so, how?</p><div> <br></div><p>These are among the many issues that need to be debated,
that need to be resolved, before we can present a comprehensive revised bylaws
document to the community for approval. We have an ambitious timetable for
doing so, but one that is obtainable with the help and support of you, our
members. With your help we hope to be able to present a revised <span>NCUC</span> Bylaws
document to you for your approval during the December election period. </p><div> <br></div><p>We’re asking those willing and able to help in this endeavor
to please join us by signing up to be a member of the <span>NCUC</span> Bylaws Revision
Committee. You can do so by going here : <a href="http://www.ncuc.org/Bylaws-Revision-Committee" target="_blank">http://www.<span>ncuc</span>.org/Bylaws-Revision-Committee</a>
and subscribing to the Committee mailing list. </p><div> <br></div><p>We will be starting our work remotely in early September and
expect to finish the revised document during an all day session in <span>Buenos</span> <span>Aires</span>
on Friday 15 November. The final session will feature full Adobe remote
capability so that those who can not be with us in Argentina will be able to
fully participate in the final drafting session. </p><div> <br></div><p>A revised and current Bylaws is essential if our
Constituency is to both stabilize and grow. With your help, we look forward to
producing a document that will proudly reflect the considered intellect and
capabilities of our Constituency and allow us to better and more effectively
function within the wider <span>ICANN</span> community.</p><div> <br></div><p>Kind Regards,</p><div> <br></div><p>Edward Morris</p><p><span>Tapani</span> <span>Tarvainen</span></p><p>for the <span>NCUC</span> Executive Committee</p>
