There is an important difference between capture and influence.

Any member of the board has influence, unless the rest of the board is 
composed of such a voting block that there never will be any tie votes.

Therefore, any block of board members has influence, proportionate with its 
size.

The new proposal leaves the at-large constituency twice as large as any 
other constituency.

Perhaps you could provide some examples of other, large, open, 
operations-oriented organizations that are subject to capture in the style 
that you are advocating?
